How do I start?
To apply to join our Affiliate Program please fill in the form below (please choose your own AffiliateID and Password): ESLDepot.com's Affiliate AgreementThis Agreement contains the terms and conditions that apply to your participation as an Affiliate in the ESLDepot.com Affiliate Programme ("Programme"). By clicking above and submitting your Affiliate Application you confirm that you agree to be bound by the terms and conditions of this Agreement. 1. Becoming an AffiliateTo begin the joining process you must submit an ESLDepot.com Affiliate Programme application through our website, submission of which implies acceptance of this Agreement. We will evaluate your application and notify you of our decision to accept or decline. We may decline your application if in our sole discretion we determine for any reason that your site is unsuitable for our Programme. Regardless of your acceptance into our Programme, we may terminate this Agreement at any time for any reason. If your Application is declined, you may at any time re-apply to the Programme. 2. Affiliate Relationship a. We will make available to you as an Affiliate Programme member a variety of special banner links ("Links" or "Link") which you may, subject to the terms of this Agreement, display as often and in as many areas on your site as you wish. The position, prominence and nature of Links on your site will be at your discretion provided they comply with all requirements of this Agreement. 3. ESLDepot.com's ResponsibilitiesWe will provide all information necessary to allow you to establish Links from your site to our site. We will be solely responsible for processing each order placed by a customer following a Link from your site, for tracking the number of sales generated by your site, and for providing you with sales statistics. Our order processing obligations will include order recording, payment processing, delivery, cancellations, returns and customer service. To permit accurate tracking, reporting, and commission accrual the special links between your site and our site must be correctly formatted. 4. Commission Eligibility a) We will pay you commission on product sales to third parties. For a sale to generate a commission ("Qualifying Purchases"), the customer must: a) follow a Link (in the correct format) to our site from your site; b) purchase a product using our automated ordering system; c) accept delivery of the product; and d) remit full payment to us. Commission rates will be based on the actual amount paid to ESLDepot.com for Qualifying Purchases, excluding tax, duties, shipping, handling, and similar charges, amounts due to credit card fraud and bad debt, and credits for returned goods or cancelled orders ("Net Sales"). All items for sale on our site will be included in the calculation of Net Sales. 5. Reports and Payment of Commissions a. You will be given access to a password-protected area of our site to view your sales statistics. 6. Pricing and other PoliciesCustomers who purchase products from our website through the Programme will be deemed to be customers of ESLDepot.com. Accordingly, all of our rules, policies, terms, conditions and operating procedures concerning customer orders, customer service, privacy, security and sales will apply to said customers. We may change our policies, terms, conditions and operating procedures, including pricing, at any time. We will determine the prices to be charged for products sold by our website under the Programme in accordance with our own pricing policies. Prices and availability of products on the ESLDepot.com web site may vary from time to time, and the availability and price of any particular product cannot be guaranteed. You must NOT place product prices, images, logos or descriptions on your site without our express written permission. 7. Publicity, Email and Other Communications You shall not publish or distribute any material, including email, that makes reference to ESLDepot.com without our written consent. Should you wish to make reference to us in an email you must provide evidence satisfactory to us that such email complies with all applicable law. 8. License a. We grant you a non-exclusive, non-transferable, revocable right to (a) link to our site through the Links solely in accordance with the terms of this agreement and (b) solely in connection with such Links to use the ESLDepot.com trademark and logo and similar identifying material relating to us but only in the forms that we provide to you (collectively, the “Licensed Materials”) for the sole purpose of linking your site to our site where your users can purchase products from our site. You may not modify the Licensed Materials. We reserve all of our rights in the Licensed Materials. 9. Responsibility for Your Site a. You will be solely responsible for the running of your site and for all content that appears on your site and you will indemnify and hold us harmless from all claims, damages, and expenses including legal fees relating to the running and contents of your site. 10. Term of the AgreementThis Agreement will begin on our acceptance of your Programme application and will end when terminated by you or us. You or we may terminate this Agreement at any time for any or no reason by giving the other party written notice by email. Upon termination all ESLDepot.com related content and Links shall be removed from your site in a timely fashion. We reserve the right to disable Links upon termination. You are eligible to earn referral fees on Qualifying Sales occurring only during the term. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid. 11. ModificationWe may at any time modify this Agreement in any way and at our sole discretion by posting a new agreement on our site. We will make commercially reasonable efforts to notify you of such changes prior to or upon implementation. If any modification is unacceptable to you your sole recourse is to terminate this Agreement. Your continued participation in the Programme following our posting of a new agreement on our website will constitute your binding acceptance of the change. 12. Relationship of PartiesNothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You will have no authority to make or accept any offer or representation on our behalf. You will not make any statement on your site or elsewhere that contradicts anything in this Clause. 13. Limitation of LiabilityUnder no circumstances will we be liable for indirect, special or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Programme even in the event that we have been notified of the possibility of such damages. 14. DisclaimersWe make no express or implied warranties or representations with respect to the Programme or any products sold through the Programme. We also make no representation that the operation of our site will be uninterrupted or error free and we will not be liable for the consequences of any interruptions or errors. 15. Representations and WarrantiesYou represent and warrant to us that you have the right and authority to enter into this Agreement and perform your obligations under the Agreement and are an adult of at least 21 years of age. 16. IndemnificationYou agree to protect, defend, hold harmless and indemnify us from and against any and all claims, actions, liabilities, losses, costs and expenses, incurred as a result of claims by customers or other third parties against us arising from or connected with any of the content or activities of your site or related business, or your unauthorized modification or unauthorized use of the services or materials provided by us. 17. Governing LawThis Agreement shall be governed by the Laws of England. |
